Club Bylaws
I. ORGANIZATION
A. The name of the organization is the Computer Club
    of Ocean County.
II. PURPOSE
A. This organization, a non-profit club, has been
    organized to promote the use and understanding
    of microcomputer technology and the dissemination
    of information thereof in the Ocean County, New
    Jersey area.
III. MEMBER SERVICES
A. The organization will sponsor activities such as
    meetings, seminars, and special interest groups on
    subjects of interest to the membership that are in
    keeping with the club's purpose.
B. A membership directory will be prepared and
    distributed to all members. The directory will provide
    a reference to other members, software knowledge,
    and related interest. The directory shall be updated
    at least once a year.
C. A newsletter will be published at a frequency
    to be determined by the executive board.
D. As a non-profit organization, the club will not
    participate in any commercial activity. The club will
    not sell or endorse any software, equipment, or
    service.
E. The club can establish a computer-orientated library
    for the benefit of its members. No commercial
    software, or any software whose copyright would be
    violated by copying, shall be included in this library.
F. Any member participating in this library, or other
    programs approved by the executive committee,
    shall be fully paid-up with no dues in arrears.
IV. MEMBERSHIP
A. Membership shall be open to all individuals with an
    interest in the field of microcomputers, as stated in
    the Purpose, who agree to abide by the rules and
    regulations of the organization.
B. A member is one who pays the annual membership
    assessment. Such a member is entitled to receive
    all club mailings, may attend club meetings, has
    voting privileges, may run for office, and may
    accept any appointed or elected position provided
    the said member remains a member in good
    standing
. The term “in good standing” shall mean
    anyone fully paid up with no arrears in dues
    assessment.
C. Membership includes all family members who
    reside in the same household. Voting privilege is
    limited to one vote per family.
D. Any member deemed not to be in good standing by
    virtue of unruly, abusive, disruptive or highly
    argumentative conduct, may be removed from the
    membership roll of the organization by virtue
    of a majority vote of the executive committee.
    Should such an event become necessary, there
    shall be no refund, in part or in full, of any
    dues assessment collected prior to such removal.
IV. MEETINGS
A. Regular meetings of this organization will
    normally be held each month on a date, time, and
    place selected by the executive committee and
    approved by the membership. These meetings will
    be open to all members and guests.
B. The annual membership meeting of this organization
    shall be held at the regular May meeting each year,
    except if such a date is a legal holiday, then the
    executive committee shall select a suitable alternate
    date. Every member in good standing shall receive
    at his/her address of record a notice telling the
    date, time, place of such annual meeting.
   
C. AGENDAS
    A typical meeting agenda will be as follows:
(a) Introduction of new members and guests.
(b) Announcements
(c) Business
(d) Program
(e) Random Access
(f) Adjournment
D. The presence of at least one-fifth of the club
    membership shall constitute a quorum. When a
    quorum is not present, the program portion of the
    meeting may proceed, however no official business
    may be conducted.
E. Other than stated in Section 9B, all votes shall be by
    a simple majority, provided a quorum is present.
F. A special meeting may be called by the president
    when he/she deems it necessary to do so. Notice of
    such a meeting, stating the time, place, and reason
    shall be included in the newsletter, or mailed to
    every member in good standing at his/her address
    of record at least five days before the scheduled
    date.
G. The president shall cause a special meeting to be
    called at the request of any two members of the
    executive committee, or any three members of the
    organization, provided that such a request is made
    in writing at least ten days before the scheduled
    date.
H. No other business but that specified in the notice
    may be transacted at such a special meeting.
VI. VOTING
A. Nominations for club officers may be made from the
    floor by any member in good standing. Voting shall
    be by voice or show of hands. By majority request,
    any question may be voted upon by secret ballot.
    Voting results shall be published in the newsletter.
B. A Nominating committee shall be recommended by
    the president subject to approval by the
    membership at the March regular meeting. The
    president shall be chairperson and a member of
    the committee. The committee shall be comprised of
    three to five persons and will propose a slate of
    officers to the membership at the April meeting.
VII. EXECUTIVE COMMITTEE
A. The business of this organization shall be managed
    by an executive committee consisting of the
    immediate past president, the current officers,
    the newsletter editor and the webmaster.
B. All of the executive committee members except the
    webmaster and the newsletter editor shall serve for
    a period of one (1) year.
C. Five (5) of the members of the executive committee
    shall constitute a quorum.
D. Each member shall have one vote, and such voting
    shall not be done by proxy.
E. Meetings of the executive committee shall be held
    as needed.
F. The executive committee may make such rules and
    regulations covering its meetings, as it may deem
    necessary.
G. Vacancies in the executive committee shall be
    filled by a vote of the majority of the remaining
    members of the executive committee, selection to
    be effective for the balance of the term of office.
H. The president of the organization, by virtue of
    his/her office, shall be chairperson of the
    executive committee.
VIII. OFFICERS
A. The Officers of the organization shall be as follows:
president program chairperson
vice president membership chairperson
secretary treasurer
B. Officers shall be elected at the annual membership
    meeting in May and shall serve for a period of one
    year beginning at the June regular meeting.
C. President
1. The president shall preside at all membership
    and executive committee meetings.
2. Shall be empowered to recommend to the
    executive committee (1) The establishment of
    all committees (2) appointment of newsletter
    editor and (3) appointment of webmaster.
3. Shall see that all books, reports, and
    certificates as required by law are properly
    kept and/or filed.
4. Shall be one of the officers who may sign
    checks and/or drafts of the organization in
    lieu of the treasurer.
5. Shall have such powers as may be reasonably
    be construed as belonging to the chief
    executive of any organization.
D. Vice President
1. The vice president succeeds to the next term
    of president, acts in the absence of the
    president and shall in the event of the absence
    or inability of the president to exercise
    his/her office, become acting president
    with all the rights, privileges and powers
    as if he/she had been duly elected president.
    The vice president shall also be responsible
    for meeting accommodations and preparing
    long-range goals.
E. Secretary
1. The secretary shall keep the minutes and
    records of the organization in appropriate
    books.
2. Shall file any certificate required by any
    statue, federal or state.
3. Shall give all notices to this organization.
4. Shall attend to all correspondence of the
    organization and shall exercise all duties
    incident to office of secretary.
F. Program Chairperson
1. The program chairperson shall be in charge
    of program arrangements for regular meetings.
G. Membership Chairperson
1. Shall create publicity as needed to draw in
    new members.
2. Shall cause to be published a membership
    directory
once a year.
3. Shall solicit ideas and implement programs
    to maintain current members and enroll new
    members.
H. Treasurer
1. The treasurer shall have the care and custody
    of all monies belonging to the organization
    and shall be responsible for such monies and/or
    securities.
2. Must be one of the officers who shall sign
    checks and/or drafts of the organization. No
    special fund shall be set aside that shall make
    it unnecessary for the treasurer to sign the
    checks issued upon it.
3. Shall render, at stated periods, as the
    executive committee shall determine, a written
    account of the finances of the organization.
    Such report shall be provided to the general
    membership of such a meeting.
4. Shall exercise all duties incident to the office
    of treasurer.
IX. EXPENDITURES
A. Expenditures of the organization's funds shall
    require authorization by the executive committee.
    The president and newsletter editor each shall be
    authorized to spend up to one hundred dollars
    ($100.00) per month (accountable to the executive
    committee) for petty cash purposes.
X. DUES
A. The dues of this organization and the manner of
    payment shall be established and revised as needed
    by the Executive Committee, subject to approval by
    the general membership.
XI. AMENDMENTS
A. Amendments to these by-laws may be proposed at
    any regular meeting. The voting on the proposed
    amendment will be at the next regular meeting. A
    copy of the proposed amendment shall be made
    available to each member prior to the voting
    meeting.
B. Amendments require a two-thirds majority of the
    members voting. Proxies are permitted and are to
    be presented to the secretary prior to the
    beginning of the meeting.
